These Terms of Use (“Terms”) govern your access to and use of the Instabill application, website, APIs, and related services (collectively, the “Service”) operated by Aver Media Ltd (“Company”, “we”, “our”, or “us”).
By accessing, registering for, or using Instabill, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Service.
Instabill is intended only for individuals who are legally eligible to use financial services under applicable laws. By using the Service, you confirm that you are at least 18 years old and legally capable of entering into binding agreements under the laws of the Federal Republic of Nigeria.
We reserve the right to refuse access to the Service, suspend accounts, or terminate user access at our discretion where eligibility requirements are not met or where use of the Service violates these Terms or applicable laws.
To access certain features of Instabill, you may be required to create an account and provide accurate, complete, and current information. You agree that all information provided during registration or verification processes shall be truthful and up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. You agree to notify us immediately if you suspect unauthorised access, security breaches, or misuse of your account.
Instabill reserves the right to suspend, restrict, or permanently terminate accounts where false, misleading, incomplete, or suspicious information is provided.
As part of our regulatory and anti-fraud obligations, Instabill may require users to provide identity verification information including, but not limited to, National Identification Number (NIN), Bank Verification Number (BVN), government-issued identification documents, and other compliance-related information.
You authorise Instabill to verify your information through authorised third-party verification providers, financial institutions, regulators, or compliance partners where necessary.
Failure to provide requested verification information may result in restricted access, delayed transactions, account suspension, or account termination.
Instabill provides digital financial and payment-related services through its mobile and web platforms. The Service may be modified, updated, suspended, or discontinued at any time without prior notice.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You further agree not to:
Use the Service for fraudulent, deceptive, or unlawful activities;
Impersonate another person or entity;
Provide false or misleading information;
Attempt unauthorised access to accounts, systems, or networks;
Upload malicious software, viruses, or harmful code;
Use the Service to violate financial regulations or applicable laws;
Interfere with the security, integrity, or proper functioning of the platform;
Use the Service in any manner that may harm Instabill, its users, financial partners, or third parties.

Instabill maintains a strict anti-fraud policy and reserves the right to monitor transactions, accounts, device activity, and usage patterns for security, fraud prevention, compliance, and risk management purposes.
Where we reasonably suspect that an account, transaction, or activity may be connected to fraud, money laundering, identity theft, cybercrime, scams, unauthorised access, abuse of the platform, financial crime, or other unlawful or suspicious activities, we may suspend, restrict, freeze, investigate, or permanently terminate the affected account without prior notice.
During investigations, Instabill may request additional verification documents or information from users. Failure to cooperate with compliance or verification requests may result in permanent restrictions on the account.
Where required or permitted by applicable law, Instabill may cooperate with financial institutions, regulators, anti-fraud organisations, courts, or law enforcement agencies and may disclose relevant information in connection with fraud investigations or legal proceedings.
Instabill strictly prohibits the use of false identities, misleading information, forged documents, impersonation, or unauthorised use of another person’s identity or financial information.
If we determine or reasonably suspect that a user has provided false information or engaged in impersonation or identity-related misconduct, we reserve the right to suspend or permanently terminate the affected account and take any additional action permitted under applicable laws and regulations.
Users are solely responsible for reviewing transaction details before confirming any payment, transfer, or financial activity carried out through Instabill.
Instabill does not guarantee uninterrupted availability of services, instant processing times, or error-free transaction processing. Delays may occur due to banking systems, payment providers, maintenance activities, technical interruptions, compliance reviews, network failures, or factors outside our control.
Instabill shall not be liable for losses resulting from incorrect transaction details provided by users, delays caused by third-party financial institutions, or circumstances beyond our reasonable control.
Instabill reserves the right to suspend, restrict, or terminate access to the Service at any time where:
We reasonably suspect fraud or unlawful activity;
A user violates these Terms;
False or misleading information is provided;
Regulatory or legal obligations require restriction;
Continued access may expose Instabill, its users, or financial partners to risk or liability.
Where appropriate, users may be permitted to appeal account restrictions by contacting customer support and providing requested verification information.
Instabill also reserves the right to permanently discontinue access to accounts involved in confirmed fraudulent, abusive, or malicious activities.
All content, trademarks, logos, graphics, interfaces, software, designs, text, and materials authorised with Instabill are owned by or licensed to Aver Media Ltd and are protected under applicable intellectual property laws.
Users are granted a limited, non-exclusive, revocable, and non-transferable right to use the Service solely for its intended purposes. No part of the Service may be copied, modified, distributed, reverse engineered, reproduced, or commercially exploited without prior written permission from Aver Media Ltd.
Your use of Instabill is also governed by our Privacy Policy, which explains how we collect, use, store, disclose, and protect user information.
By using the Service, you consent to the practices described in the Privacy Policy.
Instabill may integrate with or provide links to third-party financial institutions, payment processors, websites, products, or services. Such third-party services operate independently and may have their own terms, privacy policies, and operational practices.
Aver Media Ltd shall not be responsible for the availability, accuracy, legality, security, or content of third-party services or platforms.
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
To the fullest extent permitted by law, Aver Media Ltd disclaims all warranties relating to availability, reliability, accuracy, fitness for a particular purpose, non-infringement, uninterrupted access, or error-free operation of the Service.
To the maximum extent permitted by applicable law, Aver Media Ltd, its affiliates, directors, employees, agents, licensors, and partners shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to the use of Instabill.
This includes, without limitation, damages relating to financial losses, delayed transactions, account restrictions, service interruptions, loss of data, unauthorised access, or reliance on third-party services.
You agree to indemnify and hold harmless Aver Media Ltd, its affiliates, employees, officers, agents, partners, and service providers from and against any claims, liabilities, damages, losses, costs, or expenses arising from:
Your use of the Service;
Your violation of these Terms;
Fraudulent or unlawful activities conducted through your account;
Violation of any law or rights of third parties.
We reserve the right to modify, update, or revise these Terms at any time. Updated versions become effective immediately upon posting within the Service or on our website.

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
Any dispute, claim, or controversy arising from or relating to these Terms or the use of Instabill shall first be addressed through good-faith negotiations between the parties.
Where disputes cannot be resolved amicably, such disputes may be submitted to arbitration or resolved through courts of competent jurisdiction within Nigeria in accordance with applicable laws.
These Terms constitute the entire agreement between you and Aver Media Ltd regarding the use of Instabill and supersede any prior agreements or understandings relating to the Service.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by Aver Media Ltd to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.
